ENROLMENT AGREEMENT FOR THE 2027–2028 SCHOOL YEAR

This Enrolment Agreement (this “Agreement”) between you and 996087 Ontario Limited operating as The Academy for Gifted Children – P.A.C.E. (“P.A.C.E.”) sets out the terms and conditions governing the enrolment of your child at the Academy for Gifted Children – P.A.C.E. located at 12 Bond Crescent, Richmond Hill, ON L4E 3K2 (the “School”) for the school year commencing on or around September 8, 2027 and ending on or around June 16, 2028 (the “School Year”). By entering this Agreement, you agree to accept the terms and conditions set out herein, including P.A.C.E.’s policies, guidelines, rules, and schedules, and all documents incorporated by reference or ancillary to this Agreement. In this Agreement, you and P.A.C.E. are collectively referred to as the “Parties”. You understand that this Agreement includes WAIVER, INDEMNITY, AND RELEASE PROVISIONS that will affect your legal rights, including the right to sue, and have carefully read and considered the terms of this Agreement before signing. You further understand and agree that the purpose of the WAIVER, INDEMNITY, AND RELEASE PROVISIONS is to bind both yourself and your child.

THE SCHOOL MAY NOT OPERATE FOR THE 2027-2028 SCHOOL YEAR. PLEASE READ SECTION 5 OF THIS AGREEMENT CAREFULLY AND CONFIRM YOUR ACCEPTANCE OF THE TERMS.

1. Enrolment

  1. Re-enrolment and Seniority. Enrolment for each upcoming school year will take place at such time as P.A.C.E. determines. If P.A.C.E. decides not to re-enrol your child, or if you fail to submit the required Enrolment Agreement, payments and/or post-dated cheques, if applicable, by the deadline established by P.A.C.E., your child’s priority or seniority with respect to placement for the upcoming school year will automatically expire, and P.A.C.E. may offer the available placement to another student or applicant without notice to you.
  2. Psychoeducational Assessment. P.A.C.E. reserves the right to require, at your sole cost and expense and as a condition of your child’s continued enrolment, that you provide a current psychoeducational assessment where the director of P.A.C.E. (the “Director”) reasonably determines that updated information is required to assess your child’s educational, behavioural, social, emotional, or accommodation needs, or P.A.C.E.’s ability to appropriately support your child within its educational program. You agree to cooperate with any such request and to provide the assessment within the period reasonably specified by P.A.C.E. Failure or refusal to provide a requested assessment may affect P.A.C.E.’s ability to assess and appropriately address your child’s needs and may result in a review of your child’s continued enrolment, including the exercise by P.A.C.E. of its rights under Section 7.

2. Responsibility for Tuition Fees

Tuition for the School Year is $28,000.00 (the “Tuition Fee”) and each new student is also required to pay a one-time NON-REFUNDABLE registration fee of $2,000.00 (the “Registration Fee”). Except as expressly provided in Sections 4 and 5 of this Agreement, all amounts paid or payable in respect of the Tuition Fee, any registration fees (including the Registration Fee), and student fees for the School Year are non-refundable and constitute a binding financial commitment for the entire School Year.

You agree to pay the Tuition Fee and the Registration Fee, if applicable, by pre-authorized payment, cheque, or a combination thereof, in accordance with the payment plan set out below. All post-dated cheques will be deposited on or about the date indicated on each respective cheque. You agree to pay an administrative charge of $50.00 for each dishonoured pre-authorized payment or cheque returned for insufficient funds or otherwise dishonoured, regardless of the reason.

If any amount owing to P.A.C.E. remains unpaid for more than fifteen (15) calendar days following its applicable due date, P.A.C.E. reserves the right to take such steps as it considers appropriate to collect the outstanding amount, including suspending, dismissing, or expelling your child and pursuing any other available remedies. The suspending, dismissing, or expelling of your child due to a failure to make payment or delayed payment will not relieve you of your requirement to pay the remainder of the amounts owing to P.A.C.E. Interest will accrue on all outstanding amounts that remain unpaid for more than fifteen (15) calendar days following the applicable due date at a rate of 2% per month (24% per annum) calculated from the applicable due date until paid in full. You agree to be responsible for payment of all such interest.

P.A.C.E. Tuition Payment Plan
  • $1,000 of the Tuition Fee upon submission of this Agreement;
  • $3,500 of the Tuition Fee on January 1, 2027;
  • $2,100 of the Tuition Fee on February 1, 2027; and
  • $2,140 of the Tuition Fee per month from March 1 through December 1, 2027, inclusive.
  • New students must pay the one-time $2,000 Registration Fee on or before March 1, 2027.
If payment is being made by cheque, all post-dated cheques must be submitted together with a signed copy of this Agreement.

In addition to the Tuition Fee and Registration Fee, if applicable, you acknowledge and agree that the following additional costs may apply during the School Year:

P.A.C.E. will provide reasonable particulars of the loss or damage and the amount claimed. Payment shall be made within fifteen (15) days following written notice from P.A.C.E.

4. Cancellation of Enrolment by Parents/Guardians

You acknowledge that, upon acceptance of this Agreement, P.A.C.E. reserves a placement for your child and incurs significant costs in advance of and throughout the School Year, including costs relating to personnel, facilities, educational resources, technology, service providers, and other operational requirements, many of which cannot be reduced, recovered, or avoided if your child withdraws, does not attend, or ceases attending P.A.C.E. and/or the School for any reason.

Accordingly, except as expressly provided in this Agreement, if you withdraw your child, cancel your child’s enrolment, elect not to have your child attend P.A.C.E. and/or the School, or your child otherwise ceases attending P.A.C.E. and/or the School for any reason after this Agreement has been accepted by P.A.C.E., all Tuition Fee, registration fees (including the Registration Fee), and other amounts payable by you for the School Year shall remain due and payable in accordance with this Agreement, whether or not your child attends the School for all or any portion of the School Year. For greater certainty, except as expressly provided in this Agreement, no Tuition Fee, registration fees (including the Registration Fee), or other amount paid or payable by you in respect of the School Year shall be refunded, waived, cancelled, credited, transferred to another student, or applied to a future school year as a result of the withdrawal of your child, cancellation of enrolment by you, your child’s non-attendance, or your decision not to have your child attend the School, unless otherwise agreed to in writing by P.A.C.E. The obligations in this Section survive the withdrawal of your child and the termination or expiry of this Agreement.

5. Cancellation of the 2027–2028 School Year by P.A.C.E.

P.A.C.E.’S OPERATION OF THE SCHOOL FOR THE SCHOOL YEAR IS CONDITIONAL UPON P.A.C.E. DETERMINING, IN ITS REASONABLE DISCRETION, THAT SUFFICIENT ENROLMENT, STAFFING, FACILITIES, FINANCING, AND OTHER OPERATIONAL REQUIREMENTS EXIST TO PERMIT P.A.C.E. AND THE SCHOOL TO OPERATE IN A MANNER CONSISTENT WITH ITS EDUCATIONAL OBJECTIVES. P.A.C.E. RETAINS SOLE DISCRETION TO DETERMINE WHETHER IT WILL OPERATE FOR THE SCHOOL YEAR AND THE ENTERING INTO OF THIS AGREEMENT IS NOT TO BE MISCONSTRUED AS A REPRESENTATION THAT P.A.C.E. OR THE SCHOOL WILL OPERATE FOR THE SCHOOL YEAR. IF P.A.C.E. DETERMINES PRIOR TO THE COMMENCEMENT OF THE SCHOOL YEAR AND NO LATER THAN OCTOBER 30, 2026, THAT SUCH CONDITIONS ARE NOT SATISFIED AND ELECTS NOT TO OPERATE THE SCHOOL FOR THE SCHOOL YEAR, P.A.C.E. SHALL (I) PROMPTLY PROVIDE YOU WITH WRITTEN NOTICE THAT THE SCHOOL WILL NOT OPERATE FOR THE SCHOOL YEAR AND (II) WITHIN THIRTY (30) DAYS OF PROVIDING SUCH NOTICE, REFUND TO YOU ALL AMOUNTS PAID BY YOU TO P.A.C.E. IN RESPECT OF THE TUITION FEE AND REGISTRATION FEE, WITHOUT INTEREST, AND P.A.C.E. SHALL THEREAFTER BE FULLY RELEASED AND RELIEVED FROM ANY AND ALL FURTHER OBLIGATIONS AND LIABILITIES ARISING UNDER OR IN CONNECTION WITH THIS AGREEMENT, SUBJECT TO APPLICABLE LAW. FOR GREATER CERTAINTY, TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, THE FOREGOING REFUND SHALL CONSTITUTE YOUR SOLE AND EXCLUSIVE REMEDY IN RESPECT OF P.A.C.E.’S DECISION NOT TO OPERATE THE SCHOOL FOR THE SCHOOL YEAR, AND P.A.C.E. SHALL THEREAFTER HAVE NO FURTHER OBLIGATION OR LIABILITY ARISING FROM SUCH DECISION. THIS AGREEMENT SHALL TERMINATE AUTOMATICALLY UPON P.A.C.E. DELIVERING THE NOTICE THAT IT WILL NOT OPERATE FOR THE SCHOOL YEAR. YOU ACKNOWLEDGE THAT, IF THE SCHOOL DOES NOT OPERATE FOR THE SCHOOL YEAR, YOU WILL BE SOLELY RESPONSIBLE FOR MAKING ALTERNATIVE ARRANGEMENTS FOR YOUR CHILD’S EDUCATION.

The undersigned certifies that the undersigned has carefully read this Section and agrees to the terms herein and understands its contents (including understanding and accepting that the School may not operate for the School Year) and voluntarily agrees to be bound by it.

P.A.C.E. is committed to maintaining small class sizes. For the School Year, enrolment in each Core Class will be limited to a maximum of 22 students.

For the purposes of this Agreement, a “Core Class” means a student’s regularly assigned homeroom or principal academic class grouping. The 22-student maximum does not apply to extracurricular activities, clubs, athletics, assemblies, special events, combined instructional activities, or other programs or activities in which students from more than one Core Class may participate together.

P.A.C.E. reserves the right to determine the composition of each Core Class and to assign or reassign students among Core Classes, provided that no Core Class exceeds 22 students.

7. Suspension, Dismissal, and Expulsion

P.A.C.E. may suspend, dismiss, expel, or otherwise terminate your child’s enrolment where P.A.C.E. reasonably determines that such action is appropriate having regard to your child’s educational, behavioural, social, emotional, or medical needs, the safety, well-being, or educational interests of students or staff, compliance with School Policies and expectations, the conduct of your child or their parent or guardian, or the orderly operation of the School. You acknowledge and agree that any suspension, dismissal, expulsion, or termination of enrolment by P.A.C.E. pursuant to this Section 7 shall not relieve you of your financial obligations under this Agreement.

8. School Policies, Guidelines, Rules, and Schedules

P.A.C.E. reserves the right to establish and implement policies, guidelines, rules, and schedules governing the operation of the School (collectively, the “School Policies”) as P.A.C.E. considers appropriate from time to time. Such School Policies, as may be amended, form part of this Agreement. P.A.C.E. may amend the School Policies from time to time where it considers such amendments appropriate for the administration, safety, educational programming, or orderly operation of the School.

You acknowledge that you have received, reviewed, understand, and agree to comply with P.A.C.E.’s applicable School Policies, including those contained in the Parent/Student Handbook, which is available online at https://pace.ca/family-section/. You agree to comply, and will cause your child to comply, with all applicable School Policies prescribed by P.A.C.E. You understand and agree that a failure by you or your child to comply with the School Policies may result in disciplinary action, including the suspension, dismissal, and/or expulsion of your child from P.A.C.E and the School.

9. After-School Supervision

At the end of each school day (4:25 p.m. Monday through Thursday and 3:45 p.m. on Friday), all students in Grades 1–6 who have not been picked up will be required to report immediately to the designated after-school supervision room. Students may not wait outside, in hallways, or by exterior doors.

You acknowledge and agree that P.A.C.E. provides after-school supervision for students who cannot be picked up by the applicable dismissal time. If your child has not been picked up by 4:25 p.m. Monday through Thursday or 3:45 p.m. on Friday, your child’s name and pickup time may be recorded, and you or another authorized person picking up your child may be required to acknowledge the pickup.

You will be charged $25.00 per day for after-school supervision, regardless of the length of time for which the service is required on that day, provided that the student is picked up by 5:00 p.m. Monday through Thursday and 4:30 p.m. on Friday (the “Latest Pick-up Time”). Students participating in after-school supervision are expected to remain in the designated area and engage in quiet activities, including reading or homework.

All students must be picked up no later than the applicable Latest Pick-up Time.

10. Remote Learning

You understand and agree that P.A.C.E. may use synchronous (real-time) and asynchronous online learning (“Remote Learning”) during the School Year where P.A.C.E. considers it educationally or operationally appropriate. 11. Personal Devices – Microsoft 365 and Antivirus Software

P.A.C.E. will provide each student with a Microsoft 365 Student A3 licence for use while enrolled as a student at P.A.C.E. The licence may be cancelled or deactivated upon the student’s withdrawal, dismissal, expulsion, graduation or other termination of enrolment at P.A.C.E. Each student must have active and current antivirus or other appropriate security software installed on their personal devices where required by P.A.C.E. You and your child are responsible for taking reasonable steps to ensure that their personal devices are free from malware and other malicious software. Students are prohibited from connecting a personal device to P.A.C.E.’s network where the required security software is not installed or where the personal device is known or reasonably suspected to be infected with malware.

12. Internet, E-mail, Electronic Resources, and Waiver and Indemnity of Claims

You acknowledge that your child’s participation in P.A.C.E.’s educational programming may involve the use of electronic communications, online resources, internet-based materials, and P.A.C.E.-owned electronic equipment, accounts, networks, and information systems, and that, despite reasonable precautions, your child may inadvertently be exposed to inappropriate content while using such resources. You further acknowledge that your child shall have no expectation of privacy when using P.A.C.E.-owned electronic equipment, accounts, networks, or information systems and that such use may be accessed, reviewed, and monitored by authorized P.A.C.E. staff for legitimate School purposes.

TO THE FULLEST EXTENT PERMITTED BY LAW, YOU RELEASE, INDEMNIFY, HOLD HARMLESS AND FOREVER DISCHARGE P.A.C.E., ITS DIRECTORS, OFFICERS, SHAREHOLDERS, AGENTS, VOLUNTEERS, AND EMPLOYEES (COLLECTIVELY, THE “P.A.C.E. PARTIES”) FROM CLAIMS ARISING DIRECTLY OR INDIRECTLY FROM YOUR CHILD’S INADVERTENT EXPOSURE TO ANY INAPPROPRIATE, SENSITIVE, ABUSIVE, OR OTHERWISE HARMFUL MATERIAL WHILE USING OR ACCESSING ELECTRONIC COMMUNICATIONS, ONLINE RESOURCES AND INTERNET-BASED MATERIALS.

YOU AGREE TO DEFEND, INDEMNIFY, AND HOLD HARMLESS THE P.A.C.E. PARTIES FROM ALL ACTIONS, PROCEEDINGS, CLAIMS, DAMAGES, COSTS, DEMANDS, INCLUDING COURT COSTS AND COSTS ON A SOLICITOR-CLIENT BASIS, AND LIABILITIES WHATSOEVER NATURE OR KIND (INCLUDING CLAIMS BY THIRD PARTIES AND PERSONAL INJURY, DEATH, PROPERTY DAMAGE, ILLNESS, OR OTHER LOSS), ARISING OUT OF OR IN ANY WAY CONNECTED WITH OUR CHILD’S CONDUCT WHILE USING OR ACCESSING ELECTRONIC COMMUNICATIONS, ONLINE RESOURCES AND INTERNET-BASED MATERIALS AS PART OF THE P.A.C.E. CURRICULUM OR WHILE USING P.A.C.E.-OWNED ELECTRONIC EQUIPMENT, ACCOUNTS, NETWORKS OR INFORMATION SYSTEMS

13. Medical Authorization and Waiver and Indemnity of Claims

Unless otherwise expressly declared to P.A.C.E. in writing, you hereby confirm that, to the best of your knowledge, your child is physically, mentally, and emotionally capable of participating in all aspects of P.A.C.E.’s activities and curriculum during the School Year.

If your child becomes potentially or actually ill or injured while under the supervision of P.A.C.E., you authorize the P.A.C.E. Parties to take such steps as they reasonably consider appropriate for your child’s health and safety, including providing routine first aid, administering medication authorized by you and non-prescription medication (e.g. Benadryl, Advil, Tylenol and Dramamine), securing of medical treatment (including administration of medications or treatments deemed necessary by medical/emergency personnel), and transporting your child to a hospital, clinic, or other treatment facility, where appropriate (collectively, the “Medical Authorization”). Where reasonably practicable, P.A.C.E. will attempt to contact you or an emergency contact designated by you before taking such action. You acknowledge, however, that circumstances may require action to be taken before contact can be made and you authorize P.A.C.E. to exercise the authority granted in this Section in such circumstances. You acknowledge that you are responsible for all medical and related expenses incurred on behalf of your child that are not covered by insurance and that P.A.C.E. does not provide health, medical, or accident insurance coverage for students.

YOU AGREE TO RELEASE, INDEMNIFY, HOLD HARMLESS, AND FOREVER DISCHARGE THE P.A.C.E. PARTIES TO THE FULLEST EXTENT PERMITTED BY LAW FROM ALL LIABILITY FOR ALL PERSONAL INJURY (INCLUDING COMMUNICABLE DISEASES AND ILLNESS), DEATH, PROPERTY DAMAGE, ILLNESS, OR OTHER LOSS (INCLUDING MEDICAL COSTS), RESULTING FROM THE EXERCISE OF THE MEDICAL AUTHORIZATION BY THE P.A.C.E. O.2), BREACH OF CONTRACT, OR MISTAKE OR ERROR OF JUDGMENT OF THE P.A.C.E. PARTIES, OR OTHERWISE.

14. Privacy

P.A.C.E. collects, uses, discloses, retains, and safeguards personal information in accordance with applicable law and its privacy policies. Personal information may be collected, used, and disclosed for purposes relating to your child’s education, health and safety, participation in School programs and activities, administration of the School, communications with you, and compliance with legal and regulatory requirements. You acknowledge that you have been provided with access to P.A.C.E.’s privacy policies and consent to the collection, use, and disclosure of personal information by P.A.C.E. as described therein and as otherwise authorized or required by law.

15. Video and Photography Release and Authorization

During the School Year, the P.A.C.E. Parties may take photographs, video recordings, and audio recordings that include your child in connection with classroom activities, school events, performances, trips, extracurricular activities, and other School programs (the “Works”). By entering into this Agreement, you consent to P.A.C.E.’s collection, use, reproduction, and publication of such Works for educational, administrative, yearbook, promotional, fundraising, marketing, and public relations purposes, including in print publications, e-newsletters, brochures, posters, signs, print advertisements, on P.A.C.E.’s website, and through P.A.C.E.’s social media channels, including Facebook, Instagram, Twitter, YouTube and LinkedIn. P.A.C.E. will not identify your child by their full name in publicly available materials without obtaining additional consent from you.

YOU ACKNOWLEDGE AND CONFIRM that, as between you and P.A.C.E., P.A.C.E. shall be the sole and exclusive owner of all rights, title, and interest in the Works, including all copyright and related intellectual property rights therein. You also waive any and all rights to any personality rights of our child to P.A.C.E. for any use described in this Section 15, whether it be for internal use, social media, external advertising materials or otherwise.

You understand that the Works may appear in electronic form on the internet or in other unauthorized publications outside of P.A.C.E.’s control. YOU ACKNOWLEDGE AND AGREE that you will not hold P.A.C.E. responsible for any harm that may arise from such unauthorized reproduction.

YOU ACKNOWLEDGE AND AGREE that P.A.C.E. is not responsible for supervising or controlling photographs or video recordings independently taken or published by other parents, students or third parties, including material published on social media or other websites, except to the extent that P.A.C.E. may have an obligation to address such conduct under applicable law or the School Policies.

YOU ACKNOWLEDGE AND AGREE that neither you nor your child shall be entitled to any compensation, royalty, fee, or other payment arising from or relating to the creation, use, reproduction, publication, or other exploitation of the Works by P.A.C.E.

16. Off-Campus Activities and Privileges and Waiver and Indemnity of Claims

You acknowledge that your child may participate in field trips, excursions, athletic events, educational programs, and other activities occurring off School premises, and that students in Grades 7 and 8 may be permitted to leave School property during designated periods (including lunch) in accordance with the School Policies. You acknowledge that risks may arise while your child is participating in off-campus activities or exercising authorized off-campus privileges.

TO THE FULLEST EXTENT PERMITTED BY LAW, YOU RELEASE, INDEMNIFY, HOLD HARMLESS, AND FOREVER DISCHARGE THE P.A.C.E. PARTIES FROM ALL ACTIONS, PROCEEDINGS, CLAIMS, DAMAGES, COSTS, DEMANDS, INCLUDING COURT COSTS AND COSTS ON A SOLICITOR-CLIENT BASIS, AND LIABILITIES WHATSOEVER NATURE OR KIND (INCLUDING CLAIMS BY THIRD PARTIES AND PERSONAL INJURY, DEATH, PROPERTY DAMAGE, ILLNESS, OR OTHER LOSS), ARISING OUT OF ANY WAY CONNECTED WITH YOUR CHILD’S PARTICIPATION IN SUCH ACTIVITIES OR EXERCISE OF SUCH PRIVILEGES, WHETHER ARISING FROM THE NEGLIGENCE OF THE P.A.C.E.
